Role of Registrar of Companies in the Incorporation Process

The Company Registration process in India is an intricate one. Who is a Registrar of Companies?

Registrar of Companies or the RoC is an appointed dignitary under section 609 of the Indian Companies Act, which covers various States as well as Union Territories of India. The RoC is vested with the primary duty of registering Companies of all kinds as well as the LLPs in the respective states and the Union Territories. The RoC is also responsible for ensuring that the registered Companies & LLPs comply with the Companies Act’s statutory requirements.

The office of the RoC function as the Registry of Records. Such records are related to the companies registered with the Ministry of Corporate Affairs. These records are available for inspection by public members on payment of the prescribed accessing fee. The Union Government exercises administrative control over such Authorities by employing the respective Regional Directors.

 

Role of a Companies Registrar in Company Registration

The Company Registrar has the most important role in incorporating a company. He is the one to whom the documents are sent, he is the one who receives the application, and he is the one who decides whether you deserve to get your Company Incorporation certificate or not. To that end, his role can be categorized into three parts:

Document Accumulation

Once the Registrar receives all the documents and the application, he is responsible for cataloging them properly for future assessment.

Document Assessment

Once the Company Registration documents and the application have been received, the Registrar becomes fully active. He will check if all the documents are in order at this stage. In the document assessment process, there are three things he checks:

Issue of Company Incorporation Certificate

Once the Registrar has checked every facet of the application and the documents that are attached along with it, they decide whether to certify the Company or not. If the assessment has yielded positive results, they sign on the certification of company incorporation. This means that the Company is certified. This document is then forwarded to the applicant. However, if there is an issue, the application is rejected, and the applicant is notified.
