While filing a SEBI Research Analyst application, certain declarations must be submitted by the applicant to the Securities and Exchange Board of India (SEBI) to ensure conformity with regulatory rules and regulations. Without providing these mandatory declarations, an application for SEBI RA registration is treated as an incomplete application. Even skipping a single declaration can lead to rejection of the application and result in a sheer wastage of time and effort.

The mandatory declarations required to be submitted to SEBI during the RA registration process are discussed below. Each and every declaration must be provided by the applicant on their letterhead and should be duly dated and signed :-
In this declaration, the applicant must affirm that the research analysts employed, as well as any partners, currently comply with the qualification requirements specified under Regulation 7 of the SEBI RA Regulations 2014. In this regulation, the minimum educational qualifications, certifications and relevant experience required for research analysts are clearly prescribed.
In this declaration, the applicant must confirm that it will ensure that all appointed RAs and, where applicable, the partners of the entity continuously comply with the certification and qualification requirements prescribed under Regulation 7, including obtaining a fresh certification prior to the expiry of the existing certification.
The applicant must submit a declaration confirming that they possess the necessary infrastructure to effectively discharge the activities of a research analyst. The necessary infrastructure includes office space, office equipment, furniture and fixtures, communication facilities, research capacity and research software for undertaking research analysis.
In this declaration, the applicant must affirm that the applicant, individuals hired by it as RAs, representatives and partners, as the case may be, meet the fit and proper criteria specified in Schedule II of the SEBI (Intermediaries) Regulations, 2008.
As per this Schedule, a person is considered fit and proper based on factors such as integrity, honesty, ethical behaviour, reputation, fairness and character. Additionally, the individual must not have a criminal background, must not be subject to any winding-up proceedings or orders and must not be of unsound mind.
This is the final declaration. In this, the applicant must affirm that they shall comply with Chapter III of the SEBI Research Analysts Regulations. This Chapter, among other things, mandates that research analysts or entities put in place written internal policies and control procedures to govern their dealings and trading in securities.
These policies must be drafted in such a manner that they are able to effectively address conflicts of interest, ensure unbiased and reliable research and prevent any misuse of research reports/analysis for market manipulation.
