The Ministry of Corporate Affairs (MCA) has sent a reminder to all the stakeholders for the forthcoming due date for filing two crucial MCA forms, namely, Form LLP-8 and Form NDH-3. The deadline for filing these forms is 30 October 2025.

About LLP-8 Form

Form LLP-8 is meant for Limited Liability Partnerships (LLPs). All the LLPs must mandatorily file this form on an annual basis. This mandatory requirement is enforced under Section 34 of the Limited Liability Partnership Act 2008.

LLP-8 Form is basically the statement of Account and Solvency. In this form, crucial information is included regarding the Limited Liability Partnership’s financial and operational position, including the assets and liabilities, income and expenditure as well as a declaration for its solvency. If this form is not filed in a timely manner, then the LLP will face fines and penalties at the time of delayed filing.

About NDH-3 Form

All the Nidhi Companies must file Form NDH-3. This form is a half-yearly return that provides information regarding the no. of members, total deposits accepted, reserves maintained, loans disbursed, the ratio of net owned funds and other compliance-related details.

Nidhi companies must file this form in a timely manner. In case of failure to comply with this requirement, such companies and their officers can face fines and penalties.

Form Filing to be Done Via MCA21 Portal

To file LLP-8 and NDH-3, it is necessary to have access to the official MCA21 portal. Further, it is essential to login using valid credentials to access and file these forms. The forms must be digitally signed and then filed with the prescribed form fees. Before initiating the process, ensure that the Digital Signature Certificates of Directors (in case of Nidhi) or Partners (in case of LLP) are active.

It is advised by the MCA to finish filing the forms before the due date. Doing so will ensure timely compliance and help LLPs and Nidhi Companies to avoid last-minute rush on the portal.
