The Jio Platforms IPO is significant not only for its size but also because it represents the first major public share offering from the Reliance Group in a period of nearly two decades. This event provides investors with opportunity to purchase shares in a company that operates one of India's largest digital and telecom networks.
Jio entered the telecom market in 2016 by offering low cost data and free voice calls. This telco totally changed how Indians use mobile internet and compelled established telecom operators to adapt to the changes.
Since then, the telco has expanded its services to include home broadband, enterprise technology, digital services, cloud computing and artificial intelligence. Additionally, Jio has received support from many global technology companies.
Jio Platforms plans to raise up to Rs. 30,213 crore by issuing up to 27 crore new shares. This will be a fresh issue of shares rather than an offer for sale by existing shareholders. The company will issue these new shares and receive the proceeds depending on the final outcome of the issuance.
The majority of the funds raised will be used to repay or prepay borrowings of Reliance Jio Infocomm, which is the telecom subsidiary of Jio Platforms. The remaining proceeds will be allocated for general corporate purposes.
This proposed debt repayment is expected to reduce financing costs and provide the company with more flexibility to invest in its network as well as digital operations. Even after the IPO debuts on the market, Reliance Industries will still retain majority control of Jio Platforms. However, its stake will be diluted due to new share issuance.
Here’s a look at financial performance of Jio Platforms Limited in FY25 and FY26:-

|

According to the aforementioned figures, Jio Platforms revenue as well as profit have increased over the year. It is important to take these figures into consideration since investors purchasing shares during a large IPO are not only considering the company's current size but also evaluating its potential for earnings growth over time.
Jio's operational performance will remain closely tied to its telecom services even as the company expands into areas like broadband, enterprise solutions, cloud computing and artificial intelligence.
For fiscal year ending in March 2026, approx. 90 percent of the company's revenue and profit came from its telecom business. This heavy reliance on telecom makes factors such as subscriber monetization, tariff changes and costs associated with network investments particularly critical.
Although Jio is a key player in the market, its IPO does carry certain risks. Below, we have listed some of the significant risks associated with this IPO:-
Regulatory risks:- The telecom sector is one of the most highly regulated sectors in the country. Due to changes in licensing requirements, spectrum costs and data rules in the future, the business of Jio could be affected.
Competition from Established Telcos:- Jio’s competitors are well-established telecom operators like Bharti Airtel, BSNL and Vi.
Monetization:- Although Jio has a large subscriber base, the same does not automatically guarantee high revenue per user. Jio must keep working on improving the amount it earns from its customers.
Spending on Technology:- A large sum of money is required for network upgrades, AI infrastructure and other digital investments. Returns aren’t instantaneous and can take years to materialize.
Promoter Control:- Even after the Jio IPO gets listed on the stock exchanges, Reliance Industries will continue to retain majority of ownership. The minor shareholders must carefully evaluate the governance and related-party risks.
Volatility in Market:- Even a strong initial public offering can perform below expectations if market conditions weaken or if there is a shift in investor demand.
For investors considering the IPO as a long-term holding rather than a short-term listing trade, the above-mentioned risks are particularly relevant. Senior trade analyst Venkat S told NDTV that the size of the Jio Platforms IPO and the buzz around the listing should not be the only reasons to invest. The valuation, competition, regulatory exposure and the company's ability to generate growth beyond telecom deserve close attention.
He said that investors who are seeking short-term listing gains should remember that GMP is not a reliable promise of returns. Those considering a long-term investment should assess Jio's financial performance, growth prospects and risks against their own investment horizon and ability to withstand losses.
