National Stock Exchange (NSE) IPO receives SEBI’s Approval

The National Stock Exchange (NSE) IPO has been one of the most awaited IPOs of 2026. Finally, this IPO has received approval from market regulator Securities and Exchange Board of India (SEBI), which allows it to raise funds from investors. This IPO has potential to become the largest ever seen IPO in Indian stock market.

NSE IPO Details and Expected Valuation

The NSE IPO is entirely an offer for sale and consists of up to 149 million equity shares from existing institutional shareholders. This represents 6% of NSE's paid-up capital being offered to new investors. No new equity capital will be issued as part of the transaction. While the NSE final issue size and valuation will be determined at a later stage, market estimates suggest that NSE IPO could be about Rs. 30,000 crore. This would imply a market capitalization of more than Rs. 5 lakh crore. This positions it among top 10 most valuable companies by market capitalization.

The NSE IPO is set to surpass Hyundai Motor India's IPO of Rs. 27,859 crore and LIC's issue of Rs. 20,557 crore. Other major IPOs include One97 Communications, Tata Capital and Coal India having issue sizes of Rs. 18,300 crore, Rs. 15,511 crore and Rs. 15,199 crore, respectively. The NSE dominates trading in India's equity derivatives market and is the most active derivatives exchange in the world by contracts traded. Additionally, it operates India's benchmark Nifty 50 index.

NSE IPO Could List in Market this Month

The National Stock Exchange is planning to go public during the week starting September 21, according to two sources familiar with situation. The exchange is expected to initiate the book-building process on September 11, which will help gauge investor demand and determine NSE IPO price. The NSE price band is likely to be announced on September 15, according to one source.

Bankers monitoring the deal anticipate that NSE shares will be priced around Rs. 2,000 each based on recent trading in the pre-listing grey market. The formal NSE price band announcement is expected around September 11.

NSE was established in 1992. It was recognized as a stock exchange by the market regulator in April 1993. It commenced operations in 1994 with the launch of the wholesale debt market, followed shortly by launch of cash market segment.

NSE Financial Performance in FY26 & FY 25

The exchange reported a 15% decline in profit after tax and fell to Rs. 10,302 crore in FY26 compared to Rs. 12,188 crore in FY25. Total income also decreased to Rs. 18,713 crore in FY26 from Rs. 19,177 crore in the previous fiscal year.

In the June quarter, the NSE reported a 7% increase in consolidated profit after tax (PAT) as it rose to Rs. 3,120 crore up from Rs. 2,924 crore in the same quarter of previous fiscal year. Additionally, total income grew by 9% year-on-year to Rs. 5,252 crore in the April-June quarter of FY27 compared to Rs. 4,798 crore a year ago.
