Which License is Required for a Startup?

When it comes to startups and entrepreneurship, India is undoubtedly one of the leading hubs. The country has a strong startup ecosystem comprising lakhs of innovative businesses. Many of these businesses actually began as small ideas. Later on, they grew into major companies like Flipkart, Swiggy and Zomato to name a few.

If you have a passion for innovation as well as entrepreneurship, starting a startup can certainly be a great idea for you. However, before launching your business, it is important to understand all the legal requirements involved.

In this blog post, we will shed some light on licenses as well as registrations required for a startup in India like business registration, startup India registration, GST registration, etc. By the end of this article, you will have a clear understanding regarding formalities needed to start your startup legally. So, we recommend that you read it till the very end.

What is a Startup?

A startup is a newly emerged business entity that is engaged in the development of unique products or services. It is built on a foundation that introduces to the market something completely new in terms of product, service or business concept. For instance, when ride-hailing apps entered the transportation sector, people were not very aware of how the technology worked.

Startup is a general term for a young company designed to grow fast. Your business is inherently a startup as long as it is a new, innovative and scalable business, regardless of whether you have DPIIT certification.

While many startups choose to get recognized by DPIIT, it is not a mandatory requirement to operate the startup business. It’s just that the certification gives tax breaks, funding access and legal benefits. That’s why people opt for it.

Explained: Licenses and Registrations Required for Startups in India in 2026

Below, we have explained the commonly-required licenses and registrations for startup businesses in India, as of 2026:

Business Registration

It is often the case that entrepreneurs feel confused about which business structure to choose for their startup. The available options include Sole Proprietorship, Private Limited Company, Limited Liability Partnership (LLP), Partnership Firm, One Person Company (OPC) and Cooperative Society. Frankly speaking, the choice of structure depends entirely on your business needs, growth plans, compliance preferences and funding requirements.

A business is a startup as long as it is a newly established venture working towards innovation, development, improvement of products or services or has a scalable business model having high potential for employment generation/wealth creation. Therefore, we can say that the concept of a startup is not tied to any particular business structure.

However, if you specifically plan to obtain DPIIT Startup registration to avail an ocean of DPIIT recognition-linked benefits like tax exemptions and government incentives, a Sole Proprietorship or an Unregistered Partnership Firm is not eligible. DPIIT recognizes Private Limited Companies, LLPs, OPCs, Registered Partnership Firms, and Cooperative Societies. Therefore, if DPIIT recognition is a priority, you should choose one of the acceptable structures only. Among these structures, a Private Limited Company is generally the most preferred structure for a startup.

The reason is that it offers high credibility and has the ability to attract investors. LLPs are popular among small service-based businesses because of their flexibility and lower compliance requirements while OPCs are suitable for entrepreneurs who want complete control over their business operations as well as decision making. Startup India Registration

There are lakhs of startups in India. However, not all startups in the country are recognized by DPIIT. Many startups actually operate successfully without obtaining Startup India Registration. Therefore, merely not having DPIIT recognition does not mean that a business is not regarded as a startup.

However, startup registration is highly sought after because it provides access to multifold advantages for eligible startups. One can think of this registration as a treasure chest, with the gems inside being tax exemptions, access to government schemes and funding opportunities, easier participation in public procurement and rebates on patent and trademark filing fees.

These benefits can greatly reduce business costs and support the growth of a startup, especially when it is in its early stages when each and every penny needs to be spent very wisely and every resource counts towards building a sustainable business. For this reason, many entrepreneurs choose to obtain DPIIT recognition soon after incorporating their startup.

GST Registration

For any business, including for a startup, obtaining GST registration is mandatory if annual turnover exceeds prescribed threshold limits. The threshold is Rs. 40 lakh for businesses engaged exclusively in the supply of goods (Rs. 20 lakh for special category states) and Rs. 20 lakh for businesses engaged in the supply of services (Rs. 10 lakh for special category states).

Even if a startup does not cross the mentioned limits, GST registration may still be required in certain situations like interstate supplies, e-commerce sales and other situations as specified under GST law.

Udyam Registration

Udyam Registration is not mandatory but rather voluntary. However, a large number of startups and small businesses still choose to obtain it. You may wonder why. Well, the answer lies in the sea of benefits it offers to Micro, Small and Medium Enterprises.

Some of them are easier access to bank loans, eligibility for government schemes and subsidies, preference in government tenders and protection against delayed payments. With Registrationwala's assistance, you can get your MSME Udyam Registration completed quickly, often within a matter of 1-2 working days.

Shop and Establishment License

A startup may need to obtain Shops and Establishments License. This license is one of the most important startup licenses. It is mandatory for most commercial establishments. It helps ensure the startup’s compliance with labour and employment regulations applicable in the respective State or Union Territory. The registration must generally be obtained from concerned municipal authority/labour department of State or Union Territory where the startup is located.

It is important to note that every state and Union Territory has its own version of Shops and Establishments Act. Therefore, the registration process, documentation and compliance obligations vary accordingly.

Import Export Code (IEC)

An Import Export Code is required in case a startup is engaged in the import or export of goods or services. This code is issued by Directorate General of Foreign Trade (DGFT). It serves as a mandatory identification number for businesses that are involved in int’l trade.

The IEC application can be filed online via DGFT portal. Once granted, the code remains valid indefinitely and does not require renewal. With that being said, IEC holder must update or confirm its details on the portal every year to keep the IEC active and avoid deactivation.

Trademark Registration

Your startup may be offering something innovative, fresh and unlike anything currently available in the market. But what if someone copies your brand name, logo or slogan after seeing your success? All your efforts will go in vain. You certainly would not want that to happen, would you? This is why trademark registration is highly recommended for startups.

A trademark helps protect the startup brand’s identity and gives it exclusive rights over the registered mark. It also helps customers distinguish the startup’s products/services from those of competitors and builds trust in the startup brand over time. As the startup grows, its trademark can become one of its most valuable business assets ever.

The best thing about trademark registration for startups is perhaps the fact that even the government actively encourages startups to protect their intellectual property. DPIIT-recognized startups are eligible for significant rebates on trademark filing fees.
